TechConsult GmbH (hereinafter "Provider") provides consulting services in the areas of IT architecture, process automation, data analysis, and cloud integration. The specific services are defined in a separate project contract or offer.

The Provider undertakes to perform the agreed services in accordance with the current state of the art and with the required diligence. Changes to the scope of services require written form.

The Client shall provide the Provider with all information, data, and access necessary for the performance of the services in a timely manner. The Client warrants that the data provided does not violate applicable law or the rights of third parties.

The Client is obliged to inform the Provider about special security requirements or compliance specifications of their company. In the event of delays due to incomplete information, the Client shall bear the resulting costs.

The Provider shall be liable without limitation for intent and gross negligence, as well as for damages resulting from injury to life, body, or health. For simple negligence, the Provider shall only be liable in the event of a breach of essential contractual obligations (cardinal obligations), limited to the typical, foreseeable damage.

Liability for indirect damages, data loss, or lost profits is excluded, unless caused by intent or gross negligence. The foregoing limitations of liability also apply to the Provider's vicarious agents.

All content provided on the website, in particular concepts, analyses, software code, and documentation, is protected by copyright. The Client receives a simple, non-transferable right of use for the contractually agreed purpose.

Any use, reproduction, or distribution beyond this requires the prior written consent of the Provider. Trademarks and logos on the website are the property of their respective owners.

The Provider processes personal data exclusively in accordance with the applicable General Data Protection Regulation (GDPR) and our privacy policy. Both parties undertake not to disclose confidential information received in the course of cooperation to third parties.

Confidentiality does not apply to information that is already publicly known or has been lawfully obtained from third parties. After termination of the contractual relationship, confidential documents will be returned or destroyed upon request.

The Client may stop using the website at any time. In the event of violations of these terms, the Provider is entitled to block access or terminate the contract without notice. For ongoing project contracts, the termination periods agreed therein shall apply.

The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with these terms is, to the extent permitted by law, the registered office of the Provider in Nuremberg.

Should any provision of these terms be invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a regulation shall apply that comes closest to the economic purpose.
